Terms & Conditions for Glassnode Insights

These terms and conditions for Glassnode Insights (referred to as “Terms and Conditions”) are the agreement (“Agreement”) between you as a "User" (also referred to herein as "you", "your" or “Customer”) and Glassnode Services AG, Neuhofstrasse 22, 6340 Baar, Switzerland (referred to as "we", "us" or “Glassnode”) as operators of the websites www.glassnode.com and https://insights.glassnode.com (together, the "Websites") regarding the use of the Websites and the services available from the Websites (the "Service"). By accepting these Terms and Conditions on the Websites by means of clicking the "I accept" button or another affirmatory action, you are consenting to these Terms and Conditions that may be amended from time to time as set forth herein.

Please review our Privacy Notice located at https://studio.glassnode.com/privacy-notice, which is incorporated into these Terms and Conditions by this reference and therefore an integral part thereof.

This Agreement permits you to purchase Services and sets forth the basic Terms and Conditions under which those Services will be delivered. This Agreement will govern your initial purchase as well as any future purchases made by you that reference this Agreement.

If you are a Consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms and Conditions, including the Governing Law clause, affects your rights as a Consumer to rely on such mandatory provisions of local law. To ensure immediate processing of your rights, please do so by contacting us on legal@glassnode.com or support@glassnode.com.

The Service is not intended for the use of children under 18 and no such person is authorized to use them. By using the Service, you are representing that you are at least 18 years old. By accessing or using the Service, you represent that you are of legal age to enter into legally binding agreements.

Services

Our Services include newsletters, reports and articles containing data-driven analysis and market intelligence designed to support informed investment and trading decisions in digital assets (the “Content”). As part of the Services, we undertake analyses of visitors of our Websites and users of our Services aggregated statistics and intelligence for the benefit of our users which is made available to you as part of the Services. It is a core part of our Services that our user community benefits from the overall trends.

You acknowledge that:

we do not provide investment or financial advice and that you will not treat any of the Service’s content as such;
we do not recommend any financial product;
we not recommend that any financial product should be bought, sold or held by you;
the information which may be referred to in the Service may not be suitable for you and that you should not make any investment decision without consulting a fully qualified financial advisor.

Access and use of Service

We grant you a temporary, strictly personal, revocable, non-transferable limited license to use the Services. This license is personal to you and may not be transferred or shared with others, including co-workers and family members. You may use the Services solely for research, internal business purposes, and limited commercial use in connection with your business. You may not distribute, sublicense, or resell the Website, Services, or Content. No intellectual property rights or other rights are transferred with this license.

You shall be responsible for ensuring the accuracy, completeness, legality and appropriateness of any information provided by you to us.

You must register an account with us at our Website to manage access to the Service. Each user must keep login credentials confidential and not share them with anyone else. Your account information must be kept accurate and complete. You must keep your account information current so that we may send notices, statements, and other information to you by email or through your account.

You will ensure that you have exclusive control of your passwords and username and that their security remains guaranteed at all times. You may not disclose or otherwise make them available to any other person. We will always assume that you are the user of your password and username, and you bear full responsibility for all use of and access to the Service. You are responsible for all actions taken through your account. You are obligated to inform us immediately if you become aware of a possible breach of data security, such as unauthorized disclosure or use of your password.

You may use the Services and the Content internally for research and trading. In the ordinary course of your business, you may create, provide, and redistribute to your investors, general partners, limited partners, and customers ("Permitted Persons") information that utilizes limited excerpts of the Content, derived content based on the Content, or information contained in the Content ("Limited Commercial Use"). You may also publish such information on your websites, blogs, and social media accounts, whether orally, in writing, electronically, or otherwise. This Limited Commercial Use is permitted provided that (i) you do not monetize the Content (or any derived content) through such redistribution and (ii) you include appropriate copyright attribution to us with such excerpts.

If you wish to include our Services in your paid offerings to customers or otherwise commercially exploit them beyond the Limited Commercial Use described above, you must contact us at legal@glassnode.com to enter into a separate Commercial Use Agreement.

Restrictions of Use

You agree not to directly or indirectly use the Service or its Content to: - Copy, reproduce, change, modify, edit, adapt, obscure, or create derivative works from the Content, the code of the Service, or any portion thereof, without our prior written consent. - Use the Content, code, or Service for any commercial purpose, including but not limited to selling, licensing, publishing, broadcasting, or redistributing, except as expressly permitted under these Terms. - Present, display, or perform the Content, code, or Service in public, whether for commercial or non-commercial purposes, without prior authorization. - Attempt to decompile, disassemble, recompile, reverse engineer, or otherwise attempt to derive the source code of the Service, or interfere with its technical operations. - Remove, obscure, or alter any copyright notices, trademarks, or other proprietary rights notices contained in the Content or code. - Use, export, or re-export the Content, code, or Service (or any copy or adaptation thereof) in violation of applicable laws, regulations, or export restrictions. - Circumvent or attempt to circumvent any applicable laws, regulations, or restrictions. - Transfer, sublicense, assign, or otherwise make available the Content, code, or Service to another person, or "mirror" the Service on any other server or platform. - Use the Service or its Content for any unlawful, fraudulent, defamatory, harassing, abusive, obscene, infringing, or otherwise inappropriate purpose. - Solicit or encourage others to use the Service for unlawful or prohibited purposes. - Use or attempt to use any scraper, robot, bot, spider, data mining tool, automated process, algorithm, or similar technology to access, copy, acquire, monitor, or exploit the Service, the Content, or data therein. - Upload, transmit, or otherwise introduce viruses, malware, malicious code, or engage in spamming, phishing, or fraudulent activities targeting the Service or its users. - You shall not interfere with, attempt to interfere with, or otherwise disrupt the proper functioning or security of the Service, nor attempt to gain unauthorized access to the Service or any part thereof. You agree to use the Service solely for your own non-commercial purposes

Services and Subscription Fees

The Market Pulse newsletter report is provided free of charge, whereas certain premium features on Glassnode Insights are subject to the payment of a service fee (the "Paid Subscription"). When you sign up for a premium feature, the Website describes the functionalities of the premium features as well as the corresponding Subscription Fee.

Subscription Fees are due in advance and are non-refundable,unless otherwise stated in those Terms and Conditions. Payment must be made via the accepted payment methods as set out on the Website for the respective premium feature. If you purchase access to a Paid Subscription through a third party, separate terms and conditions with such third party may apply in addition to these Terms. You agree to receipt of all invoices and receipts in an electronic format, which includes email. Product prices may change at any time. We will not be responsible for the event of non-receipt of the Product due to incorrect information being provided by you. To make amendments to your order, please contact us at support@glassnode.com. We reserve the right to not fulfil and to cancel orders if we do not receive payment.

Payment via Credit Card

If Customer is purchasing the Service via credit card, debit card or other payment card (”Credit Card”), the following terms apply:

By providing Credit Card information and agreeing to purchase the Service, you hereby authorize us (or our designee) to automatically charge your Credit Card on the same date of each calendar month or year (or the closest prior date, if there are fewer days in a particular month) during the Subscription Term for all fees accrued as of that date (if any) in accordance with the applicable subscription order.

You acknowledge that for certain Credit Cards, the issuer of your Credit Card may charge a foreign transaction fee or other charges.

If a payment is not successfully settled due to expiration of a Credit Card, insufficient funds, or otherwise, you remain responsible for any amounts not remitted to us and we may, in its sole discretion, either (i) invoice you directly for the deficient amount, (ii) continue billing the Credit Card once it has been updated by you (if applicable) or (iii) terminate this subscription.

At any time, you may change your Credit Card information by entering updated Credit Card information in the account settings.

Price changes

We reserve the right to amend unilaterally, at any time and its sole discretion the paid Content and the corresponding Subscription Fee. We will communicate any price changes to you in advance. Price changes will take effect at the start of the next subscription period following the date of the price change and, by continuing to use our Services after the price change takes effect, you will have accepted the new price. If you do not agree to a price change, you can reject the change by unsubscribing from the applicable Subscription Fee prior to the price change going into effect.

Your Customer Data

This Customer Data Policy is aligned with our Privacy Notice at https://studio.glassnode.com/privacy-notice and governs the collection, use, and protection of your data in connection with the Services. You retain all rights, title, and interest in and to your Customer Data, meaning any information, content, or materials, including personal data, that you provide or generate through your use of our Services. You are solely responsible for the accuracy, quality, legality, and appropriateness of such Customer Data, including ensuring that you have the necessary rights and lawful basis to provide it to us.

We process your Data only as necessary to perform our Agreement with you, to fulfill support requests, to comply with legal obligations, or to pursue our legitimate interests as described in our Privacy Notice. By using the Services, you grant us a worldwide, non-exclusive, royalty-free, revocable right to collect, use, process, transfer, and store your Data for these purposes. This right terminates upon termination of your subscription, except where retention is required under applicable law, to fulfill legal obligations, or to resolve disputes, as further described in our Privacy Notice.

We will implement and maintain commercially reasonable, industry-standard technical and organizational measures designed to preserve the security, integrity, and confidentiality of your Data and personal data. We may share your Data with trusted service providers acting under our instructions, subject to strict confidentiality obligations. For transfers of Customer Data outside Switzerland, we implement appropriate safeguards, including the use of standard contractual clauses, in line with Swiss and EU requirements.

We may also collect, process and use data, information and insights generated from your use of the Services (“Usage Data”) based on our legitimate interest in improving and developing our Services, for business purposes, including industry analysis, benchmarking, analytics, marketing, and developing, training and improving our services. Before such use, all your Data will be de-identified and anonymized so that it cannot be linked back to you or your Confidential Information, and Usage Data will be disclosed only in aggregate form.

In accordance with the Swiss Federal Act on Data Protection (FADP), you may have rights to access, rectify, erase, restrict, or object to the processing of your personal data, or to request data portability. To exercise these rights, you may contact us at legal@glassnode.com or support@glassnode.com, as further detailed in our Privacy Notice. These Terms and Conditions are in alignment with our Privacy Notice and ensure compliance with FADP.

Term and Termination

These Terms and Conditions remain valid for as long as you maintain a user account with us. Any paid subscription starts on the Effective Date, which is the date on which your payment is successfully processed, and continues for the period specified on the Website for the respective subscription plan (the ‘Subscription Period’), unless earlier cancelled or terminated in accordance with these Terms and Conditions. Upon expiration or termination of this subscription, your access to the Service will cease.

We may terminate the provision of the Service to you with immediate effect and deactivate your access to the Service including the Website, if we have knowledge of or reasonably believe that your use of the Service and/or the Websites is in breach of applicable law or breaches one or more provisions of these Terms and Conditions.In any other case we may terminate the Service by giving 2 weeks’ notice in electronic form. In such cases, the fully paid Subscription Fee for premium features will be refunded on a pro rata basis.

Renewal and Cancellation

Upon expiration of the Term, this subscription shall automatically renew for successive terms equal to the original Term, unless you cancel your subscription anytime before the end of the then-current subscription period. You acknowledge that your subscription is subject to automatic renewal and you consent to and accept responsibility for all related recurring charges to your applicable payment method without further authorization from you and without further notice unless required by law. You acknowledge that the amount of the recurring charge may change if there has been a change in the applicable fees.

Contact our Customer Support team on support@glassnode.com for instructions on how to cancel or cancel in “My Account Settings”. The cancellation will take effect the day after the last day of the current subscription period. We do not provide refunds or credits for any partial subscription periods, except as expressly stated in these Terms and Conditions.

Consumer Right to Cancel

If you are a Consumer, and the mandatory provisions of the law of your country of residence grant you the right to cancel this subscription and return the purchased Service, you may exercise this right within the applicable statutory period. Please note that your right as a Consumer to cancel your order may not apply to the supply of digital services that you have started to download, stream or otherwise acquire and to services which you have had the benefit of.

To meet the cancellation deadline, it is sufficient that you notify us of your decision to cancel the Agreement before the expiration of that period by contacting us at support@glassnode.com.

If you cancel this subscription as permitted above, we will reimburse you all payments received from you. We will make the reimbursement without undue delay, and not later than 14 days after the day on which we are informed about your decision to cancel this Agreement.

Refund Policy

Other refunds are provided at the sole discretion of us and on a case-by-case basis and may be refused. This does not affect your rights as a Consumer in relation to Services which are not as described or faulty.

Intellectual Property

All materials contained on the Websites and provided via the Service are the sole and exclusive intellectual property (copyright) of us and/or our licensors. This includes, but is not limited to graphics, text, source code, the selection, arrangement and presentation of all materials and the overall design of the Service.

Feedback

If you provide ideas, suggestions, or other feedback in connection with your use of the Services or any Content (“Feedback”), such Feedback shall be deemed non-confidential and may be used by us without restriction, obligation, or compensation to you. We may use, copy, modify, and incorporate Feedback into our products and services to improve and develop our offerings. Any personal data you include in Feedback will remain confidential and be processed solely in accordance with our Privacy Notice. Only the service-related content of the Feedback may be used by us for improvement and development purposes.

No Warranties

To the fullest extent permitted by law:

YOU AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK AND ACKNOWLEDGE THAT THE SERVICE AND ANYTHING CONTAINED WITHIN THE SERVICE, INCLUDING, BUT NOT LIMITED TO, CONTENT AND INFORMATION, ARE PROVIDED "AS IS" AND "AS AVAILABLE" ON A COMPLEMENTARY AND VOLUNTARY BASIS.GLASSNODE DOES NOT MAKE ANY EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH REGARD TO THE SERVICE. IN PARTICULAR, YOU AGREE THAT GLASSNODE ASSUMES NO WARRANTY FOR THE CORRECTNESS, ACCURACY AND COMPLETENESS OF THE SERVICE AND THE WEBSITE.GLASSNODE'S LIABILITY AND WARRANTY ARE LIMITED TO INTENT AND GROSS NEGLIGENCE. IN NO EVENT WILL GLASSNODE, ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS OR THE ASSIGNEES OF SAME BE LIABLE FOR (I) ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE OR ANTICIPATED PROFITS OR LOST BUSINESS, BUSINESS INTERRUPTION, REPUTATIONAL DAMAGE, LOSS OF PROGRAMS OR INFORMATION OR DATA, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE, INABILITY TO USE THE SERVICE, OR ANY INFORMATION PROVIDED ON OR DOWNLOADED FROM THE SERVICE, EVEN IF GLASSNODE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES. OR (II) ANY CLAIM BASED ON ERRORS, OMISSIONS OR OTHER INACCURACIES IN THE SERVICE.

EVEN THOUGH GLASSNODE STRIVES TO MAKE THE SERVICE AVAILABLE 24/7, GLASSNODE DOES NOT GUARANTEE UNINTERRUPTED AVAILABILITY OF THE SERVICE AND SHALL NOT BE LIABLE FOR ANY DELAYS, ERRORS OR INTERRUPTIONS IN THE TRANSMISSION OR DELIVERY OF DATA VIA THE SERVICE. GLASSNODE DOES NOT WARRANT THAT THE SERVICE AND THE WEBSITE ARE FREE OF VIRUSES, WORMS OR "TROJAN HORSES," OR ANY OTHER HARMFUL, INVASIVE, OR CORRUPTED FILES, OR OTHER HARMFUL COMPONENTS OR THAT THIS WEBSITE OR THE SERVICE DO NOT VIOLATE ANY THIRD PARTY RIGHTS. GLASSNODE HEREBY EXCLUDES ALL WARRANTY AND GUARANTEES TO THE FULLEST EXTENT PERMITTED BY LAW.BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE THAT INTERNET TRANSMISSIONS ARE NEVER COMPLETELY PRIVATE OR SECURE. You agree that we may, in our sole discretion, without prior notice, terminate your access to the Service and/or block your future access to the Service if we determine, at our sole discretion, that you have violated these Terms and Conditions or other agreements or guidelines which may be associated with your use of the Service. In case of termination by us for the aforementioned reason, no refund of the Subscription Fee shall be due.You also agree that any violation by you of these Terms and Conditions will cause irreparable harm to us for which monetary damages would be inadequate, and you consent to us obtaining any injunctive or equitable relief that we deem necessary or appropriate in such circumstances. These remedies are in addition to any other remedies we may have at law or in equity.

You agree to fully indemnify and hold us, our employees, directors, contractors and affiliates harmless from any demands, loss, liability, claims or expenses (including reasonable attorneys’ fees and court costs), made against us by any third party due to or arising out of or in connection with (1) your access to or use of the Service; (2) your violation of these Terms and Conditions or any applicable law or regulation, (3) your violation of any rights of any third party thereto; or (4) any disputes or issues between you and any third party thereto.

Links to Other Sites

The Service contains links to other independent third-party websites ("Linked Sites"). These Linked Sites are provided solely as a convenience to our visitors. Such Linked Sites are not under our control, and we are not responsible for and do not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites.

Users Outside of Switzerland

Glassnode Services AG is a Swiss stock corporation (Aktiengesellschaften). Although the Websites and the Service are accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Service are available to all persons or in all geographic locations, or appropriate or available for use outside of Switzerland. If you choose to access the Service from outside of Switzerland, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

Changes to the Service and these Terms and Conditions

Nothing in these Terms and Conditions shall entitle you to claim in any manner a right to use the Service. We may without prior notice cease providing and/or limit the Service at any point in time at its sole discretion.

We reserve the right to change these Terms and Conditions at any time by providing new Terms and Conditions on the Websites. Any change(s) to these Terms and Conditions will take immediate effect upon such changes being posted. In case of changes you have the right to terminate the use of the Service with us. Your continued use of the Service following such changes will constitute your acceptance of those changes. In case you inform us in writing about your non-acceptance of a change of these Terms and Conditions by us, we may – but are not obliged to – refund the Subscription Fee on a pro rata basis.

Other Terms

All provisions of these Terms and Conditions are severable. Should any provision of these Terms and Conditions be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions. An invalid or ineffective provision shall be replaced by one that is legally possible and comes closest to the invalid or ineffective content. The same shall apply mutatis mutandis to any gap.

You may preserve these Terms and Conditions in written form by printing it for your records, and you waive any other requirement that these Terms and Conditions be evidenced by a written document.

These Terms and Conditions, together with the Privacy Notice at https://studio.glassnode.com/privacy-notice and any other legal notices published by us, constitute the entire agreement between you and us with regard to your use of the Service.Our failure to insist on or to enforce strict performance of these Terms and Conditions shall not be deemed as a waiver by us of any provision or any right it has to enforce these Terms and Conditions. Any such waiver must be in writing in order to be effective.You may not assign or transfer your rights and obligations contained in these Terms and Conditions or any other agreement with us any interest therein without the prior written consent of us.

Nothing in these Terms and Conditions shall be construed as creating an employment contract, joint venture, agency or simple partnership of any kind between you and us.

Law and Venue
